1. Acceptance of Terms
These Terms of Service (“Terms”) form a legally binding agreement between you and Fahtel Digital Hub (“Fahtel Digital Hub”, “we”, “us” or “our”), a digital productivity company based in Lagos, Nigeria. They govern your access to and use of www.fahteldigitalhub.com, our student, customer and administrator dashboards, our online courses, our AI assistant, our current and future applications, and all services we provide.
By accessing our website, creating an account, enrolling in a course, submitting a service request or otherwise using our services, you confirm that you have read, understood and agreed to these Terms and to our Privacy Policy and Cookie Policy, which are incorporated by reference.
If you are entering into these Terms on behalf of a company, school, church, NGO or other organisation, you confirm that you have the authority to bind that organisation, and “you” refers to both you and that organisation. If you do not agree with these Terms, you must not use our website or services.
Specific engagements may be governed by an additional document such as a proposal, statement of work, service agreement or course enrolment agreement. Where there is a conflict, the specific signed document prevails over these Terms for that engagement only.
2. Eligibility
To use our services you must meet the following requirements:
- You must be at least 18 years old, or at least 16 years old with the consent and supervision of a parent, guardian or authorised school representative.
- You must have the legal capacity to enter into a binding contract in your country of residence.
- You must provide accurate, current and complete information when registering or requesting services.
- You must not be barred from receiving services under any applicable law, sanction or court order.
- Organisations enrolling staff or students must ensure they have the authority to share those individuals’ details with us.
We may refuse, suspend or terminate access where we reasonably believe these eligibility requirements are not met.
3. User Accounts
Some parts of our platform require an account. Account types include student accounts, customer accounts and administrator accounts, each with different levels of access.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- Accounts are personal to you and may not be shared, sold, transferred or used by more than one person, unless we have agreed a team or organisation licence in writing.
- You must notify us immediately at Inquiry@fahteldigitalhub.com if you suspect unauthorised access to your account.
- You must keep your contact details up to date so that we can reach you with important notices.
- We may require email verification, phone verification or additional security steps before granting access to certain features.
- Administrator accounts carry elevated privileges and must only be used by authorised personnel for legitimate administrative purposes.
You may close your account at any time by contacting us. Closing an account does not automatically cancel outstanding financial obligations or terminate an ongoing project engagement.
4. Acceptable Use
We want Fahtel Digital Hub to be a safe, professional and useful environment for everyone. When using our website, courses, community spaces or applications, you agree not to:
- Break any applicable law or regulation, or encourage others to do so.
- Upload, post or transmit content that is unlawful, defamatory, obscene, hateful, harassing, discriminatory or threatening.
- Infringe the intellectual property rights, privacy rights or confidentiality obligations of any person.
- Share, resell, record, redistribute or publicly broadcast our course materials without our written permission.
- Attempt to gain unauthorised access to our systems, other users’ accounts, or any data you are not entitled to.
- Introduce viruses, malware, ransomware or any other harmful code.
- Use automated scrapers, bots or crawlers to extract content or overload our infrastructure.
- Reverse engineer, decompile or attempt to derive the source code of our applications, except where such a restriction is prohibited by law.
- Use our AI assistant to generate unlawful, harmful, deceptive, defamatory or fraudulent content, or to attempt to bypass safety controls.
- Impersonate Fahtel Digital Hub, our staff, instructors or any other person or organisation.
- Use our platform to send spam or unsolicited commercial communications.
We may investigate suspected breaches, remove content, restrict features or suspend accounts where we reasonably believe this policy has been violated.
5. Service Descriptions
Fahtel Digital Hub offers a range of digital services and products, which may include:
- AI training for individuals, teams and organisations.
- Website design and development, including business, school, church, NGO, hospital, restaurant, hotel and law firm websites.
- Mobile application development for iOS and Android.
- Business automation, workflow design and AI chatbot implementation.
- ICT support, computer repairs and preventive maintenance.
- Corporate training programmes delivered onsite or remotely.
- Community and membership programmes.
- Software development, digital marketing, branding, content creation and business consulting.
- Online courses and certification.
- Current and future SaaS and AI applications, including Fahtel Pilot and Fahtel Book Genius.
Descriptions of services on our website are for general information. The precise scope, deliverables, timelines and price of any engagement are set out in the proposal, quotation or statement of work agreed between us. We may add, modify, suspend or discontinue features or offerings at any time; where a change materially affects a service you have paid for, we will notify you and discuss a fair resolution.
Products marked “Coming Soon” are in development. Availability dates, features and pricing for those products are indicative and may change.
6. AI-Generated Content Disclaimer
Our platform includes AI-powered features such as the Fahtel AI assistant, AI chatbots we build for clients, and AI functionality within our applications. You must understand and accept the following before relying on AI outputs:
- AI outputs are generated automatically and may be inaccurate, incomplete, outdated or misleading.
- AI outputs do not constitute legal, financial, medical, tax, academic or professional advice of any kind.
- You are responsible for reviewing, verifying and editing AI-generated content before using or publishing it.
- AI systems may produce similar outputs for different users; we make no claim that any output is unique or original.
- Ownership and copyright status of AI-generated material can vary by jurisdiction and may be uncertain.
- You must not submit confidential, sensitive or personal data belonging to third parties into AI features without a lawful basis.
- We are not liable for any loss arising from your reliance on AI-generated content.
Where we deliver AI systems as part of a client project, we will document the intended use, limitations and human review requirements of that system. You agree to operate it within those documented boundaries.
7. Client Responsibilities
Successful projects depend on collaboration. Where we deliver a service to you, you agree to:
- Provide accurate, complete and timely information, content, images, logos and approvals.
- Nominate a single point of contact with authority to give feedback and sign off deliverables.
- Ensure you hold the necessary rights to any material you supply to us for use in your project.
- Respond to review requests within the timeframes agreed in the project plan.
- Provide access to accounts, domains, hosting and third-party tools where required.
- Pay agreed fees on schedule and settle any third-party costs such as domains, hosting or licences.
- Comply with all laws applicable to your business, including data protection obligations towards your own customers.
Delays caused by late content, late feedback or late payment may extend delivery timelines and, where they cause additional work, may attract additional charges agreed in advance.
8. Payments and Fees
Fees for courses and services are stated in Nigerian Naira (₦) unless otherwise agreed in writing.
- Course fees are payable in full at enrolment unless a payment plan has been approved in writing.
- Project work typically requires an upfront deposit, with the balance payable at agreed milestones or on completion.
- Retainer, support and maintenance services are billed on the cycle stated in your agreement.
- Prices exclude applicable taxes, levies and bank or gateway charges unless expressly stated.
- Third-party costs such as domain names, hosting, app store fees, plugins, stock media and AI usage credits are billed separately or passed through at cost.
- Invoices are due within the period stated on the invoice; overdue amounts may attract a late payment charge and may lead to suspension of work or access.
- We may revise our pricing at any time; changes do not affect engagements already confirmed and paid for.
Where subscription products or an online payment gateway are introduced, additional billing terms including renewal, cancellation and auto-charge rules will be presented to you before purchase.
9. Refund Policy
We want you to be satisfied with what you buy from us. Our refund approach is as follows:
- Online courses: you may request a refund within 7 days of enrolment provided you have completed no more than 20% of the course content and have not downloaded bulk course materials or received a certificate.
- Live or corporate training: cancellations made at least 7 days before the scheduled start date receive a full refund; later cancellations may be rescheduled once at no extra cost, subject to availability.
- Project-based services: deposits are non-refundable once discovery, design or development work has commenced, because resources are reserved for you. Where we have not yet started, we will refund the deposit less any documented costs already incurred.
- Milestone payments already delivered and approved are non-refundable.
- Repairs and hardware services: fees for completed diagnostic or repair work are non-refundable. Parts are covered by the manufacturer or supplier warranty where applicable.
- Third-party costs already paid on your behalf, such as domains, hosting or app store fees, are non-refundable.
- Refunds are processed to the original payment method within 14 business days of approval.
To request a refund, email Inquiry@fahteldigitalhub.com with your name, order or invoice reference and the reason for the request. We review every request fairly and will always try to find a reasonable resolution, including credits or replacement services where a refund is not available.
10. Intellectual Property
All content on our website and platform — including the Fahtel Digital Hub name and logo, text, graphics, layouts, course curricula, videos, templates, code, designs and databases — is owned by or licensed to Fahtel Digital Hub and is protected by Nigerian and international intellectual property law.
- Enrolment in a course grants you a personal, non-exclusive, non-transferable licence to access the materials for your own learning. It does not transfer ownership.
- You may not copy, resell, publish, sublicense or use our materials to run a competing training programme.
- For client projects, ownership of the final approved deliverables transfers to you once all fees have been paid in full.
- We retain ownership of our pre-existing tools, frameworks, libraries, internal components and general know-how used to build your deliverables, and grant you a perpetual licence to use them as embedded in your project.
- Third-party assets such as fonts, stock images, plugins and open-source components remain subject to their own licences.
- You retain ownership of all content, trademarks and materials you supply to us, and grant us a licence to use them for the purpose of delivering your project.
- Unless you object in writing, we may display your project in our portfolio and marketing materials.
If you believe content on our platform infringes your rights, contact us at Inquiry@fahteldigitalhub.com with details and we will investigate promptly.
11. Website Usage
We work hard to keep our website and dashboards available, secure and accurate, but we provide them on an “as available” basis.
- We may perform maintenance, updates or upgrades that temporarily interrupt access.
- We do not guarantee that the website will be uninterrupted, error-free or free of harmful components.
- Content such as blog posts, FAQs, pricing indications and course outlines is provided for general information and may change without notice.
- You are responsible for the device, internet connection and software you use to access our services.
- You must not use the website in a way that damages, disables or impairs it, or interferes with another user’s access.
12. Third-Party Services and Links
Our platform integrates with and links to third-party services such as hosting providers, payment processors, AI model providers, analytics tools, WhatsApp and social media platforms.
- Your use of any third-party service is governed by that provider’s own terms and privacy policy.
- We are not responsible for the content, availability, security or practices of third-party services.
- A link from our website is not an endorsement of the linked site.
- Where a third-party service changes or is discontinued, we will make reasonable efforts to find an alternative, which may involve additional cost.
13. Software Licences
Where we supply software, applications, templates, automations or AI agents, we grant you a licence rather than ownership of our underlying platform code, unless a written agreement states otherwise.
- Licences are non-exclusive, non-transferable and limited to the users, sites or entities specified in your agreement.
- You must not remove copyright notices, sublicense, or redistribute licensed software without written consent.
- Open-source components are provided under their respective licences, which take precedence for those components.
- SaaS products such as Fahtel Pilot and Fahtel Book Genius will be provided under subscription terms presented at sign-up, including any usage limits and fair-use rules.
- Licences may be revoked where fees remain unpaid or where these Terms are materially breached.
14. Disclaimer of Warranties
To the fullest extent permitted by law, our website, courses, applications and services are provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
- We do not warrant that our services will meet every requirement or produce any specific business, financial or academic outcome.
- We do not guarantee income, sales, search engine rankings, follower growth or monetisation approval from any platform.
- We do not warrant that content, including AI-generated content, is accurate, complete or current.
- We do not warrant uninterrupted or error-free operation of any system, including systems dependent on third-party infrastructure.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded under Nigerian consumer protection law.
15. Limitation of Liability
To the maximum extent permitted by law:
- Fahtel Digital Hub, its directors, employees, instructors and contractors are not liable for indirect, incidental, special, consequential or punitive damages.
- We are not liable for loss of profit, revenue, business, goodwill, data, anticipated savings or opportunity, whether or not foreseeable.
- Our total aggregate liability arising from or connected to your use of our services is limited to the total amount you paid to us for the specific service giving rise to the claim in the twelve months before the claim arose.
- We are not liable for events beyond our reasonable control, including power failures, internet or network outages, third-party platform failures, cyber attacks, strikes, natural disasters, epidemics or government action.
- We are not liable for loss arising from your failure to maintain backups, keep credentials secure or follow reasonable security guidance.
Nothing in this section limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded under Nigerian law.
16. Indemnification
You agree to indemnify, defend and hold harmless Fahtel Digital Hub, its directors, employees, instructors, contractors and partners from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms or any applicable law.
- Content, materials, data or instructions you provide to us, including any claim that they infringe third-party rights.
- Your use or misuse of our services, deliverables or AI features.
- Your failure to obtain necessary consents from individuals whose data you ask us to process.
- Any dispute between you and a third party relating to work we delivered on your instructions.
17. Suspension of Access
We may suspend or restrict your access to all or part of our services, with or without prior notice where circumstances require, if:
- Payment is overdue.
- We reasonably suspect fraud, abuse, security risk or unauthorised access.
- You breach the Acceptable Use section of these Terms.
- Suspension is required by law, a regulator or a court order.
- Emergency maintenance or a security incident makes suspension necessary to protect users.
Where possible, we will tell you why access has been suspended and what you need to do to restore it. Suspension does not relieve you of payment obligations that accrued before suspension.
18. Termination
Either party may terminate these Terms or a specific engagement as follows:
- You may close your account or stop using our services at any time.
- You may terminate an ongoing project by giving written notice; fees for work completed up to the termination date remain payable.
- We may terminate immediately for material breach that is not remedied within 14 days of written notice.
- We may terminate immediately where a breach cannot be remedied, such as fraud or serious misuse.
- We may discontinue a product or service by giving reasonable notice and, where appropriate, a pro-rata refund of prepaid unused fees.
On termination, licences granted to you for unpaid deliverables end, your access to dashboards and course materials may be removed, and each party must return or delete the other’s confidential information on request. Sections relating to intellectual property, payment obligations, disclaimers, liability, indemnity and governing law survive termination.
19. Governing Law
These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes) are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Subject to the dispute resolution section below, you and Fahtel Digital Hub submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
20. Dispute Resolution
We prefer to resolve concerns quickly and amicably. The following steps apply to any dispute:
- Step 1 — Direct discussion: contact us at Inquiry@fahteldigitalhub.com describing the issue and the outcome you seek. We will respond within 10 business days and attempt to resolve it in good faith.
- Step 2 — Mediation: if the matter is unresolved after 30 days, the parties will attempt mediation with a mutually agreed mediator in Lagos, Nigeria, sharing the mediator’s costs equally.
- Step 3 — Arbitration or litigation: if mediation fails, the dispute may be referred to arbitration in Lagos under the Arbitration and Mediation Act 2023 before a single arbitrator, or to the courts of Lagos State.
- Nothing prevents either party from seeking urgent injunctive relief to protect intellectual property or confidential information.
- Claims must be brought within one year of the date the cause of action arose, unless a longer period is required by law.
21. Changes to These Terms
We may update these Terms to reflect changes in our services, technology, business practices or legal obligations. The Effective Date at the top of this page shows when the current version took effect.
- Minor updates take effect when published on this page.
- Material changes will be communicated by email or an in-product notice at least 14 days before they take effect, where reasonably practicable.
- Continuing to use our services after a change takes effect means you accept the revised Terms.
- If you do not accept a change, you may stop using the services and, where applicable, request a pro-rata refund of prepaid unused fees.
22. General Provisions
- Entire agreement: these Terms, together with any signed proposal or statement of work, form the entire agreement between us.
- Severability: if any provision is found unenforceable, the remaining provisions continue in full force.
- No waiver: failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment: you may not assign your rights without our written consent; we may assign to a successor in connection with a merger or acquisition.
- Notices: notices to us should be sent to Inquiry@fahteldigitalhub.com; notices to you will be sent to the email on your account.
- Relationship: nothing in these Terms creates a partnership, joint venture or employment relationship between us.
